is a clinical-stage company advancing the field of biologics.
Tivic’s lead drug candidate, Entolimod™ to treat Acute Radiation
Syndrome (ARS), is in late-stage development. Entolimod™ is a TLR5
agonist that activates an innate immune pathway to prevent cell
death in the bone marrow and epithelial tissues across systems
impacted by radiation and age. We are seeking a seasoned, highly
pragmatic General Counsel to serve as the company’s chief legal
officer during a critical growth and value-creation phase. To learn

This role requires a hands-on legal leader with deep experience in
public company governance, clinical-stage pharmaceutical
operations, and capital markets. The General Counsel serves as the
chief legal advisor to the Chief Executive Officer and executive
leadership team. This role is responsible for all corporate legal
matters, governance, complex contract negotiations, compliance, and
risk mitigation across the organization. The General Counsel
ensures the company’s legal strategy aligns with business
objectives while fostering strong relationships with internal and
external stakeholders to support growth, operational excellence,
and long-term value creation. Key Responsibilities Public Company &
Corporate Governance Serve as principal legal advisor to the CEO,
executive team, and Board of Directors Oversee all public company
obligations, including SEC reporting (Forms 10-K, 10-Q, 8-K, proxy
statements) and disclosure controls Advise on corporate governance
matters, Board and committee operations, insider trading
compliance, and shareholder communications Oversee activities with
transfer agent including communications related to stock issuances
and restrictive language requirements. Maintain stock and warrant
ledgers. Support investor relations, earnings releases, and capital
markets communications Compliance & Risk Management Identify,
assess, and mitigate enterprise legal and regulatory risks Design
and maintain compliance programs appropriate for a pre-commercial
public pharma company Advise on healthcare laws and regulations,
including Anti-Kickback Statute, False Claims Act (as applicable),
Sunshine Act preparedness, and data privacy Oversee compliance
related to GxP, pharmacovigilance, clinical disclosures, and trial
transparency Capital Markets & Strategic Transactions Support
equity financings, ATM programs, PIPEs, debt financings, and other
capital markets activities Lead legal aspects of strategic
collaborations, licensing transactions, and potential M&A
Manage legal due diligence and transaction execution Operational &
Employment Matters Partner with Human Resources on employment
matters and investigations; provide legal guidance to reduce risk
and ensure compliance with applicable laws Draft and negotiate
general commercial and vendor agreements Lead negotiations with
legal oversight for real estate leases, renewals, acquisitions, and
dispositions. Manage relationships with outside counsel and service
providers to ensure cost-effective legal support Intellectual
Property & Technology Partner with scientific leadership and
outside counsel to manage and protect the company’s intellectual
property portfolio Advise on patent strategy, licensing,
collaboration agreements, and freedom-to-operate issues Support
diligence and IP considerations for partnerships and strategic
transactions Clinical, Regulatory & R&D Legal Support Draft,
review, and negotiate clinical trial agreements, CRO agreements,
investigator agreements, site agreements, and related vendor
contracts Provide legal guidance across all stages of clinical
development, including Phase 1–3 trials Work with outside
regulatory counsel on FDA and global regulatory matters impacting
clinical development, including INDs, trial design, and regulatory
interactions Requirements: Education & Experience Juris Doctor
(J.D.) degree from an accredited law school; admitted to practice
and in good standing as an active member of the bar in at least one
U.S. state or the District of Columbia (required), with a strong
preference for admission to the State Bar of Texas (candidates
admitted in other jurisdictions will be considered). A minimum of
12 years working in a law firm or in an in-house legal department
as legal counsel Demonstrated experience handling complex
commercial transactions in a public, highly regulated or
technology-driven industry, including experience with public
companies, clinical-stage pharmaceutical or life sciences companies
preferred Strong knowledge of U.S. securities laws, FDA regulatory
frameworks, and clinical development operations Experience with
federal government contracts, compliance, and procurement
processes. Working knowledge of export controls and international
trade regulations. Proven ability to balance legal rigor with
practical business needs Experience supporting capital markets
transactions and strategic partnerships Knowledge & Skills Strong
knowledge of regulatory compliance, intellectual property, labor
and employment issues, privacy, and cybersecurity Comfortable
working closely with scientists, clinicians, and finance teams
Highly organized, responsive, and able to manage competing
priorities Clear, confident communicator with executive presence
Robust computer skills and comfort working with remote team
members. Exceptional business ethics, influence, and leadership
skills Physical Requirements & Working Environment The position is
primarily remote with requirements to be on-site occasionally.
Flexibility is required for working hours. Some weekend work may be
needed and earlier or later start/finish times may also be
required. While on-site performing the job duties, the employee is
regularly required to sit; reach with hands and arms and talk or
hear. The employee is frequently required to stand and walk. The
employee may sometimes be required to lift and/or move up to 20
pounds. Specific vision abilities required by this job include
close vision, color vision, and ability to adjust focus. The
employee must have manual dexterity and manual ability to
